1. INTRODUCTION

This Seller Agreement governs the relationship between BizTowers, operated by Emoicai Biz Ltd ("BizTowers", "we", "our", or "us"), and any individual, business, organization, or entity that offers products or services through the BizTowers Platform ("Seller", "you", or "your").
By opening a shop, listing products, offering services, advertising content, receiving payments, or conducting commercial activity through BizTowers, you agree to be bound by this Seller Agreement.
This Agreement forms part of the BizTowers Terms of Service.

2. SELLER ELIGIBILITY

To become a Seller you must:
* Be at least eighteen (18) years old.
* Maintain an active BizTowers account.
* Provide accurate and complete information.
* Comply with applicable laws.
* Comply with Platform policies.
BizTowers reserves the right to approve, reject, suspend, or terminate Seller status at its sole discretion.

3. SELLER VERIFICATION

BizTowers may require one or more forms of verification, including:
* Email Verification

* Business Registration Verification
Verification requirements may vary depending on:

* Service category
* Transaction volume
* Trust level
* Risk indicators
BizTowers may request updated verification information at any time.
Failure to complete verification requirements may result in:
* Listing restrictions
* Payout restrictions
* Account limitations
* Suspension

4. SELLER RESPONSIBILITIES

Sellers are solely responsible for:
* Products offered through the Platform.
* Services offered through the Platform.
* Product quality.
* Service quality.
* Product legality.
* Service legality.
* Product safety.
* Customer communications.
* Customer support.
* Tax obligations.
* Compliance with applicable laws.
Sellers must ensure that all information presented to buyers is accurate, truthful, and not misleading.

5. PRODUCT AND SERVICE LISTINGS

Sellers agree that listings must:
* Accurately describe products or services.
* Clearly state important limitations.
* Avoid misleading claims.
* Reflect actual availability.
* Use truthful images and media.
BizTowers reserves the right to edit, restrict, suspend, or remove listings that violate Platform policies.

6. PHYSICAL PRODUCT OBLIGATIONS

For physical products, Sellers are responsible for:
* Product quality.
* Product safety.
* Product authenticity.
* Packaging.
* Shipping arrangements.
* Delivery obligations.
* Compliance with consumer protection laws.
Sellers must not offer counterfeit, stolen, unsafe, or prohibited products.

7. DIGITAL PRODUCT OBLIGATIONS

For digital products, Sellers are responsible for:
* Product accessibility.
* Product functionality.
* File integrity.
* License compliance.
* Product compatibility disclosures.
* Delivery of advertised content.
Digital products must not contain:
* Malware.
* Viruses.
* Spyware.
* Unauthorized code.
* Harmful software.

8. SERVICE OBLIGATIONS

For services, Sellers are responsible for:
* Timely delivery.
* Professional conduct.
* Accurate representation of qualifications.
* Fulfillment of advertised commitments.
Services must not be misleading, fraudulent, unlawful, or deceptive.

9. INTELLECTUAL PROPERTY WARRANTIES

The Seller represents and warrants that:
* The Seller owns the products, content, intellectual property rights, or legal interests necessary to offer products or services through the Platform; or
* The Seller possesses all necessary licenses, permissions, authorizations, and approvals.
Sellers may not upload, advertise, distribute, sell, or promote:
* Pirated software.
* Cracked software.
* Unauthorized ebooks.
* Unauthorized courses.
* Copyright-infringing content.
* Trademark-infringing content.
* Counterfeit goods.
* Fake licenses.
* Stolen content.

10. INTELLECTUAL PROPERTY INDEMNITY

The Seller agrees to defend, indemnify, and hold harmless BizTowers, Emoicai Biz Ltd, its employees, officers, contractors, affiliates, and partners against any claims arising from:
* Copyright infringement.
* Trademark infringement.
* Patent disputes.
* Design-right disputes.
* Intellectual property violations.
* Unauthorized distribution.
The Seller accepts full responsibility for all content uploaded to the Platform.

11. PROHIBITED PRODUCTS AND SERVICES
---
The following are prohibited:
* Pirated software.
* Cracked software.
* Unauthorized IPTV services.
* Counterfeit goods.
* Stolen products.
* Fake licenses.
* Malware.
* Spyware.
* Adult content.
* Gambling systems.
* Pyramid schemes.
* Fraudulent schemes.
* Illegal products.
* Restricted products prohibited by law.
BizTowers may remove prohibited content without notice.

12. BUYER PROTECTION COMPLIANCE

Sellers acknowledge and agree that eligible transactions may be subject to Buyer Protection procedures.
BizTowers may:
* Hold protected funds.
* Review disputes.
* Investigate complaints.
* Delay payouts.
* Request supporting information.
Sellers agree to cooperate with reasonable investigations.

13. REFUNDS AND DISPUTES

Sellers must participate in dispute resolution procedures when requested.
BizTowers may consider:
* Product information.
* Delivery records.
* Customer communications.
* Supporting evidence.
* Platform records.
BizTowers reserves the right to approve, deny, or partially approve refund requests based on available evidence.

14. PAYOUTS

Seller earnings may become eligible for payout after:
* Buyer confirmation; or
* Expiration of the applicable Buyer Protection period.
BizTowers may delay, suspend, reverse, or refuse payouts where:
* Fraud concerns exist.
* Disputes remain unresolved.
* Verification is incomplete.
* Legal obligations apply.
* Policy violations are identified.

15. REVIEWS, RATINGS, AND TRUST SYSTEMS

Sellers may not:
* Purchase reviews.
* Exchange incentives for reviews.
* Manipulate ratings.
* Use fake accounts.
* Mislead buyers.
BizTowers may:
* Remove reviews.
* Adjust ratings.
* Modify trust scores.
* Revoke trust badges.
* Restrict reputation features.

16. ADVERTISING AND PROMOTIONS

Sellers using advertising tools, including TopTower and promotional services, remain responsible for the legality and accuracy of advertisements.
Advertising must not contain:
* False claims.
* Misleading statements.
* Intellectual property violations.
* Fraudulent offers.
Advertising purchases do not guarantee sales, traffic, visibility, or business outcomes.

17. TAXES

Sellers remain solely responsible for:
* Tax reporting.
* Tax collection obligations.
* Tax remittance obligations.
* Compliance with applicable tax laws.
BizTowers does not provide tax advice.

18. SUSPENSION AND TERMINATION

BizTowers may suspend or terminate Seller accounts without prior notice where it reasonably believes the Seller has:
* Engaged in fraud.
* Uploaded prohibited content.
* Violated intellectual property rights.
* Manipulated reviews.
* Abused Platform systems.
* Violated applicable laws.
* Violated Platform policies.
Suspension may be temporary or permanent.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law, BizTowers and Emoicai Biz Ltd shall not be liable for indirect, consequential, incidental, punitive, or special damages arising from Seller activity on the Platform.

20. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of Uganda.
